Terms of Service — Nodalist AI

These Terms of Service ("Terms") govern your use of Nodalist AI, operated by Logos Fortuna İnşaat Danışmanlık Sanayi ve Ticaret Limited Şirketi ("we", "us", "our"). By using the service, you agree to these Terms.

1. Service Description

Nodalist AI is a visual AI-assisted brainstorming and decision-making tool. You can create graph-based canvases, generate AI-powered branches, run multi-model debates (AI Storming), upload documents for analysis, and save workspaces to the cloud.

2. Account Registration

You must sign in with a Google or GitHub account to use cloud features. You are responsible for maintaining the security of your authentication credentials. You must be at least 16 years old to use the service.

3. Credit System and Payments

AI features consume credits. Free accounts receive 250 credits per month. Paid subscriptions (Starter, Pro, Enterprise) provide higher monthly credit allowances. Credits reset monthly on your billing date.

Payments are processed by Paddle, which acts as our Merchant of Record. Paddle handles all billing, tax collection (including VAT), invoicing, and payment processing. By purchasing a subscription or credit top-up, you also agree to Paddle's Terms.

Subscription prices are listed in USD. Paddle may convert to your local currency at the point of purchase.

4. Subscription Terms

Subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled
You can cancel anytime — your subscription remains active until the end of the current billing period
Monthly plans: unused credits reset each month. Yearly plans: credits are granted upfront for 12 months
Top-up (one-time) credits never expire and are preserved across billing cycles
Downgrades take effect at the next billing cycle

5. Acceptable Use

You agree not to:

Use the service for any illegal or harmful purpose
Attempt to reverse-engineer, hack, or exploit the service or its APIs
Share your account credentials or allow unauthorized access
Use automated scripts or bots to consume credits or abuse rate limits
Upload content that is illegal, infringing, or violates third-party rights
Use AI-generated outputs to create misleading, harmful, or deceptive content

6. Your Content

You retain ownership of all content you create in Nodalist AI (nodes, workspaces, uploaded files). We do not claim any intellectual property rights over your content.

AI-generated content is provided as suggestions. You are responsible for reviewing and using AI outputs appropriately. We make no guarantees about the accuracy, completeness, or fitness of AI-generated content.

7. AI Model Providers

Nodalist AI uses third-party AI models (Google Gemini, OpenAI GPT, Anthropic Claude, xAI Grok, Moonshot Kimi, DeepSeek). Your prompts and context are sent to the selected provider when you initiate AI actions. Each provider has its own terms and usage policies.

8. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. The service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Logos Fortuna İnşaat Danışmanlık Sanayi ve Ticaret Limited Şirketi shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting [email protected]. Upon termination, your cloud-stored data will be deleted within 30 days.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email. Continued use of the service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Turkey. Any disputes shall be resolved in the courts of Ankara, Turkey.
